The Commercial Code of Iraq is a complete English translation of the Iraqi Law of Commerce No. 30 of 1984, as well as eleven related statutes that govern commercial activity in Iraq. It is based on the Arabic text published in al-Waqa'i al-'Iraqiyya, Iraq's Official Gazette, and includes all amendments in effect through 2026. This volume brings together, in one place, the laws that practitioners, judges, arbitrators, investors, and scholars most frequently require:
- Law of Commerce No. 30 of 1984 (merchants, commercial papers, bills of exchange, check, commercial contracts, banking operations, and international sales)
- Commercial Agency Regulation Law No. 79 of 2017, with Instructions No. 1 of 2020
- Bankruptcy and Preventive Composition (Part V of the Law of Commerce No. 149 of 1970), with Coalition Provisional Authority Order No. 78 of 2004
- Law for the Regulation of Internal and External Trade No. 20 of 1970
- Maritime Agencies Law No. 56 of 1985 - Iraqi Supreme Maritime Authority Law No. 18 of 2019
- Federation of Iraqi Chambers of Commerce Law No. 43 of 1989
- General Free Zone Each law is presented article by article, including a preamble, chapter structure, and statement of reasons.
Footnotes identify every amended, suspended, and repealed provision, cite the amending legislation, including the Official Gazette issue and date, and record relevant Federal Supreme Court of Iraq decisions, allowing the reader to see both the current text and how it came to be. The translation strives for legal precision rather than paraphrasing, preserving the structure and terminology of the Arabic original while remaining readable in English.
The translator, Zardasht Khalid Mohammed, is a consultant lawyer based in Sulaymaniyah, Kurdistan Region of Iraq, with an LLM from the United States and an LLB from Iraq. He practices commercial, investment, and regulatory law in Arabic, Kurdish, and English.
This is Volume 2 of the Iraqi Law Series. It is an unofficial translation intended for legal scholarship and reference.
